1. Acceptance of Terms

These Terms of Service ('Terms') govern your access to and use of the Truck Dispatching Platform and related services (collectively, the 'Services') provided by United Lanes LLC DBA TruckDispatching.co ('we,' 'us,' or 'our'), located in Lincoln, Nebraska, USA.

By registering for an account, accessing, or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. These Terms apply to all visitors, users, and others who access or use the Services.

2. Account Registration, Eligibility & Security

2.1 Eligibility: You must be at least 18 years old and have the legal authority to enter into these Terms to use our Services. By registering, you represent and warrant that you meet these requirements. If you are under 18, you must immediately cease use of our Services and delete any account you may have created.

2.2 Account Information: You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding your password and for all activities that occur under your account. Notify us immediately at support@truckdispatching.co of any unauthorized use of your account.

2.3 Multi-Tenant Security: Our platform uses enterprise-grade authentication (Clerk) and multi-tenant architecture to ensure your agency's data is isolated and secure. We do not share your data with other users.

2.4 USA-Only Use: Our Services are intended solely for users located in the United States. By using our Services, you represent and warrant that you are located in the United States and have the legal right to use the Services in your jurisdiction.

3. Services, Pricing & Billing

3.1 Service Description: TruckDispatching.co provides a SaaS platform for freight dispatchers, including carrier CRM, load management, automated invoicing, website builder, and contract vault features.

3.2 Pricing Tiers:
• Free ($0/forever): Browse the platform, explore features in demo mode, access help docs and tutorials. No credit card required.
• Starter ($29/month): Full access to all 5 modules, manage up to 20 carriers, 1GB secure document storage, automated invoicing + Stripe payments, website builder with custom domain support, secure contract vault, email support.
• Unlimited ($49/month): Everything in Starter, plus unlimited carriers, 10GB secure document storage, priority email support, advanced reporting & analytics, team member seats, API access (coming soon).
• Storage Add-Ons: $10/month for each additional 50GB of secure document storage.

3.3 Billing, Payment & Auto-Renewal: Paid subscriptions are billed monthly in advance via Stripe. Your subscription will automatically renew at the end of each billing cycle unless you cancel before the next billing cycle begins. You authorize us to charge your selected payment method for recurring fees. Fees are non-refundable except in the case of a technical error on our part, in which case refunds will be processed within 48–72 hours of verification.

3.4 Failed Payments: If a payment fails, we reserve the right to suspend your access to paid features immediately until payment is successfully processed. We are not liable for any interruption in service due to payment failure.

3.5 Changes to Pricing: We reserve the right to modify pricing with at least 30 days' notice via email to the address associated with your account. Changes will not apply to existing subscription periods. Continued use after a price change constitutes acceptance of the new pricing.

4. Acceptable Use & Prohibited Activities

You agree not to:
• Use the Services for any illegal purpose or in violation of any local, state, national, or international law
• Violate or infringe upon the rights of others, including intellectual property, privacy, or publicity rights
• Attempt to probe, scan, or test the vulnerability of our systems or breach security/authentication measures
• Use automated scripts, bots, or scrapers to access the Services without prior written permission
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Upload or transmit viruses, malware, or any other malicious code
• Interfere with or disrupt the integrity or performance of the Services
• Use carrier or broker data obtained through the Services for purposes unrelated to dispatching services without explicit consent from the data owner
• Publish or transmit any content that is unlawful, harassing, defamatory, abusive, fraudulent, or otherwise objectionable

5. User-Generated Content & Website Builder

5.1 Your Responsibility: If you use our website builder or other features to publish content (text, images, logos, etc.), you are solely responsible for that content. You represent and warrant that you have all necessary rights to publish such content and that it does not violate any third-party rights or applicable laws.

5.2 Our Right to Remove Content: We reserve the right, but have no obligation, to monitor, review, or remove any content published through our Services at any time, with or without notice, if we believe it violates these Terms, infringes third-party rights, or is otherwise objectionable. We are not liable for any content you or third parties publish through the Services.

5.3 License to Us: By publishing content through our Services, you grant us a limited, non-exclusive, royalty-free, worldwide license to host, display, and distribute that content solely to provide the Services to you. This license terminates when you delete the content or your account.

6. Intellectual Property

6.1 Our Property: The Services, including all software, design, text, graphics, logos, and content, are owned by United Lanes LLC or its licensors and are protected by U.S. and international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

6.2 Your Data: You retain all rights to the data you upload to the Services (carrier information, load data, documents, etc.). By uploading data, you grant us a limited, non-exclusive, royalty-free license to host, process, and display that data solely to provide the Services to you. We do not claim ownership of your data.

7. Third-Party Services & Integrations

Our Services may integrate with or link to third-party tools and services (e.g., Stripe for payments, Clerk for authentication, Vercel for hosting, or promotional partners like TruckerDB). These integrations are governed by their respective terms and privacy policies. We are not responsible for the practices, content, or privacy policies of third-party services. You use such integrations at your own risk. We reserve the right to add, modify, or remove third-party integrations at any time with or without notice.

8. Disclaimer of Warranties & Service Availability

THE SERVICES ARE PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR MEET YOUR REQUIREMENTS. WE MAKE NO GUARANTEES REGARDING UPTIME, PERFORMANCE, OR RELIABILITY. YOU ASSUME ALL RISK FOR YOUR USE OF THE SERVICES. WE TRY OUR BEST TO PROVIDE A RELIABLE PLATFORM, BUT WE CANNOT GUARANTEES CONTINUOUS OR PERFECT SERVICE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNITED LANES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 6 MONTHS PRECEDING THE CLAIM, OR $500, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless United Lanes LLC, its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; (d) your negligence or willful misconduct; or (e) content you publish through the Services.

11. Termination & Cancellation

11.1 By You: You may cancel your paid subscription at any time via your account settings. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods except as required by law or for technical errors as described in Section 3.3.
11.2 By Us: We may suspend or terminate your access to the Services immediately if you materially breach these Terms, engage in fraudulent activity, or fail to pay applicable fees. We will provide notice when commercially reasonable.
11.3 Effect of Termination: Upon termination, your right to use the Services ceases immediately. You are responsible for exporting any data you wish to retain prior to termination. We may delete all account data 30 days after termination unless legally required to retain it.

12. Dispute Resolution, Class Action Waiver & Governing Law

12.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Nebraska, without regard to its conflict of law principles.

12.2 Exclusive Venue: Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Lancaster County, Nebraska. You consent to personal jurisdiction and venue in such courts.

12.3 Class Action Waiver: YOU AGREE THAT ANY DISPUTE SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION AGAINST US, WHETHER IN COURT OR OTHERWISE. THIS WAIVER APPLIES TO ALL CLAIMS, INCLUDING THOSE BASED ON CONTRACT, TORT, STATUTE, OR FRAUD.

12.4 Small Claims Exception: Notwithstanding the class action waiver above, you and we both retain the right to bring claims in small claims court or similar tribunal for disputes within that court's jurisdiction, provided the claim is brought on an individual basis.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by sending an email to the address associated with your account at least 30 days before the changes take effect. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the modified Terms. We encourage you to review these Terms periodically.
